Terms and Conditions
The following forms the terms and conditions between you and Aldex Software Ltd
for the use of this website and for the purchase and use of goods from Aldex Software Ltd.
It is in addition to your statutory rights. If you have any comments or are
unsure about any aspect of these conditions then please contact us.
Information about our products
We will provide clear information about the products we offer. All
products will be accompanied by details of any specific technical requirements
required in order to operate it correctly. Please make sure that you have
checked these requirements before purchase.
Additionally all products will be available to download prior to purchase. This
will allow you to evaluate the application and ensure that it is suitable prior
to purchase.
Prices
The prices of all goods on our website are quoted exclusive of Value Added
Tax. Customers in the European Union will be charged VAT at the prevailing rate.
Customers outside of the European Union will not be charged VAT. All goods are
delivered by electronic transfer so there are no shipping, packaging or delivery
charges.
Ordering and Delivery
We accept payment in UK pounds sterling only. The methods of payment we
accept are: Debit cards displaying the Maestro, Solo or Visa Delta logos and
Credit cards displaying the Visa or MasterCard logos.
We will confirm by e-mail any order you place with us through this website.
This confirmation will include your name, the order or reference number and the
total price being charged to you.
We will provide you with a receipt for any goods purchased from us. Delivery is
undertaken by electronic transfer only. Physical media are not supplied.
Delivery times
Evaluation copies can be downloaded from our web site on demand. For online
purchases made by Credit or Debit cards delivery of the Activation Codes is made
by an automated email process. This will normally be at within a few minutes of
order completion. If ordering by official Purchase Order we aim to process all
such orders within one working day of receipt.
Returns and Refunds
You can download and evaluate our products free of charge. Apart from a few restrictions
these are full working copies so you should ensure that you are happy with the software prior
to purchasing an Activation Code to unlock the full functionality. In the event that
you are unhappy with a product you have purchased from our website then please write to
or e-mail us and tell us why within 28 days of receipt. You will need to confirm that
you have destroyed all copies of both software, associated databases and any supplied
Activation/License Codes and undertake not to use or disclose any supplied Licences to anyone else.
We will then provide a refund.
End User License Agreement
You will be deemed to have accepted these terms and conditions by downloading, installing
or using any software supplied from this web site on any computer. Any software supplied
from this website is supplied with a limited, personal, non-exclusive, non-sub-licensable
and non-transferable license to use and copy such software for your own personal or
internal business purposes on any computer owned or leased by you or by your organisation.
Save as set out in these terms and conditions, you have no right to use, incorporate into
other products, copy, publish, display, modify or translate any supplied software or any
modification, adaptation or copy of any supplied software or any part thereof, nor to
decompile, reverse engineer, or disassemble the source code of any supplied software
either in whole or in part, except to the limited extent permitted by law.
You may not rent, lease, sub-license, sell, assign or otherwise transfer
any supplied software to any other person or permit other individuals to use any
supplied software without the prior written consent of Aldex Software Ltd. You will not use any supplied software to manufacture or distribute a product
that is substantially similar to or that competes with the supplied software.
Warranties
Any software supplied from this web site and any related documentation and material is
provided "as is" without warranties of any kind, either express or implied, including,
without limitation, the implied warranties or merchantability, fitness for a particular
purpose, or non-infringement, so far as such exclusion or disclaimer is permitted under
the applicable law. The entire risk arising out of use or performance of such software
and or data remains with you. Aldex Software Ltd. expressly disclaim any warranty for
any such software and or data and its use in any manner.
Liability
In no event shall Aldex Software Ltd. be liable for any damages whatsoever (including,
without limitation, damages for loss of profits, personal or business interruption,
loss of information, or any other loss) arising out of the use of or inability to use
any supplied software or data, even if Aldex Software Ltd. has been advised of the
possibility of such damages. Because some territories and jurisdictions do not allow
the exclusion or limitation of liability for certain types damages arising from negligence,
the above limitation may not apply to you. In such cases our liability is limited to
no more than the purchase price paid by you for such supplied software or in cases
where liability is not permitted to be limited as such or liability shall be no more
than as permitted under the applicable law.
Intellectual Property Rights
You acknowledge that all Intellectual Property Rights in or relating to any supplied
software are and shall remain the exclusive property of Aldex Software Ltd. and that,
save as expressly granted under this License, you have no rights in any supplied software.
Support
Software is supplied with an associated help file which you may print out for your own
purposes. A support FAQ and/or Forum will also usually be available on the
website. You will not be entitled to receive any hard-copy documentation,
telephone assistance, enhancements, new versions or updates to any supplied software.
However Aldex Software Ltd. will usually provide free support for its products via its website,
email or other means but will not be obliged to do so and any such support will be
provided at its sole discretion.
Your Commitment to us
All portions of this website and all software code and other material on this website are

You agree that you use this website at your own risk and accept it 'as is'. You agree that
you shall not hold Aldex Software Ltd. or any of its employees or agents liable for any
damage or loss, however caused and whether due to Aldex Software Ltd.’s negligence or otherwise.
You agree that you will only use this website for your own personal use and shall not
copy or otherwise infringe the rights of Aldex Software Ltd. or use this website for any
illegal or unauthorised activity. By using this site you agree to act in an honest and
honourable manner in your dealings with us and that you are who you say you are.
You agree to accept liability for any loss suffered by Aldex Software Ltd. as a result
of any fraudulent or unauthorised action deliberately caused or initiated by you.

If you have any complaints please let us know, either by email or by post. We will

Illegality
If any part of this agreement is found to be illegal or unenforceable, such
finding will not affect the validity or enforceability of the remainder of these terms and
conditions and we shall amend that provision in such reasonable manner as achieves the
intention of the parties without illegality, or at our discretion such provision may
be severed from this agreement and the remaining provisions of this agreement shall
remain in full force and effect.
Waiver
Any failure or delay by the Aldex Software Ltd. in exercising its rights under this
agreement shall not be construed as a waiver of those rights at that time or at any time in the future.
Privacy
You details will be kept confidential and will not be sold or leased to any third party
except as requested by an authorised officer of the law or other similar government authority.
Processing of Credit and Debit cards is handled by SagePay (formely Protx) on their
own secure servers and at no time does Aldex Software Ltd. know your card details.
Legal jurisdiction
Aldex Software Ltd. is based in England and as such these terms and conditions and all
matters arising from it are governed by and construed in accordance with the laws of England
and Wales whose courts shall have exclusive jurisdiction over all disputes arising in
connection from same.
